GRANT OF CONDITIONAL SHARE AWARDS

1)      INVENSYS 2007 LONG TERM INCENTIVE PLAN ("LTIP")

Invensys plc ("the Company") wishes to notify the following changes in the interests of persons discharging managerial responsibility ("PDMRs") in ordinary shares ("Shares") arising out of the grant of conditional awards of Shares  under the LTIP ("LTIP Awards").

On 25 June 2013 LTIP Awards were granted to the following PDMRs, as set out below.  The numbers of Shares stated are the maximum available to each PDMR on satisfaction in full of the performance targets applicable to the Award:

Vesting of the LTIP Awards is conditional upon performance conditions (relating, inter alia, to the Company's Total Shareholder Return and the Compound Annual Growth Rate in the Company's Earnings Per Share) to be applied over a three year performance period.  These performance conditions do not apply to 20% of the Shares under LTIP Award for Mark Balcunas, Michael Caliel and Robert Rennie. Subject to the performance conditions any Shares which vest will be released as soon as possible following 25 June 2016.

 

2)      INVENSYS PLC DEFERRED SHARE PLAN ("DSP plan")

The Company wishes to notify the following changes in the interests of PDMRs in Shares in connection with the payment of a proportion of their bonus entitlement for the financial year to 31 March 2013 granted under the Deferred Share Plan (DSP Awards)

On 25 June 2013 DSP Awards were granted to the following PDMRs, as set out below.

The vesting of DSP Awards is subject to continued employment. For the executive directors 100% of the DSP Award will be transferred to them three years after the date of grant; for Michael Caliel his DSP Award will be transferred following the second anniversary of the date of grant.
