Transactions by persons discharging managerial responsibilities and their
connected persons in accordance with DTR 3.1.4R(1)(a)

Invensys plc notifies that the following grants of Awards under the Invensys plc
Turnaround Bonus Overlay Plan have been made today in respect of Invensys plc
ordinary shares of 10p each, to the following directors:

Mr Ulf Henriksson received an award of 167,977 ordinary shares of 10p each
Mr Steve Hare received an award of 69,765 ordinary shares of 10p each

No consideration was paid by either Mr Henriksson and Mr Hare for the grant of
these awards. The vesting of these awards are subject to continued employment.
50% of the shares will be released following the first anniversary of the date
of grant and the remaining 50% will be released following the second
anniversary.
