Invensys plc was advised on 13 November 2007 that on the same day the following
Directors of the Company acquired the number of Invensys Ordinary Shares of 10p
each ("Shares") shown opposite their names below at the respective prices:-

Martin Jay*      3,920 Shares at 254.918p each registered under Strand Nominees Ltd

Ulf Henriksson   20,000 Shares at 250p each and 20,000 Shares at 264p each



*Notification relates to the Director and his spouse, Dr Sandra Jay.



Following these transactions Mr Jay's total holding is 13,458 Shares
(representing 0.0017% of the issued share capital of the Company) and Mr
Henriksson's total holding is 556,819 Shares (representing 0.07% of the issued
share capital of the Company).
