Transactions by persons discharging managerial responsibilities and their connected persons in accordance with DTR 3.1.4R(1)
Invensys plc ('the Company') notifies that 222,042 ordinary shares of 10p each in the share capital of the Company ("Shares") have, on 1 June 2008 vested in favour of Mr Ulf Henriksson, a director of the Company, following maturity of (a) the second and final tranche of Shares under a Turnaround Bonus Overlay Plan award granted to Mr Henriksson on 1 June 2006 and (b) the first tranche of Shares under a Turnaround Bonus Overlay Plan award granted to Mr Henriksson on 1 June 2007. Mr Henriksson is not required to make any payment for these Shares.
In addition the Company notifies that 34,882 Shares have, on 1 June 2008 vested in favour of Mr Hare, a director of the Company, following maturity of the first tranche of Shares under a Turnaround Bonus Overlay Plan award granted to Mr Hare on 1 June 2007. Mr Hare is not required to make any payment for these Shares.
These Shares were transferred on 3 June 2008 each director by the trustee of the Invensys No. 2 Employee Benefit Trust ("the Trust").
94,528 Shares were sold at 309p per Share on 3 June 2008 to meet Mr Henriksson's tax liabilities in respect of the Shares which vested under the Turnaround Bonus Overlay Plan.
14,850 Shares were sold at 309p per Share on 3 June 2008 to meet Mr Hare's tax liabilities in respect of the Shares which vested under the Turnaround Bonus Overlay Plan.
Following these transactions Mr Henriksson’s total holding is 694,333 Shares (representing 0.0871% of the issued ordinary share capital of the Company) and Mr Hare’s total holding is 20,032 (representing 0.0025% of the issued ordinary share capital of the Company).
