Transactions by persons discharging managerial responsibilities and their connected persons in accordance with DTR 3.1.4R(1)(a)
Invensys plc notifies that 248,425 ordinary shares of 10p each ("Shares") were released to Ulf C I Henriksson, a director of the Company, on 29 June 2009, following vesting of an award granted under the 1998 Long Term Incentive Plan on 1 June 2006.
The award was granted over a maximum of 641,100 Shares. Under the terms of the performance target (which primarily related to the Company's TSR relative to a basket of 12 global comparators over a three-year performance period), the award vested as to 55% of the Shares under award.
In recognition of the Company's performance over the period from the date of the award and following consultation with key shareholders the Remuneration Committee exercised its discretion to make an additional award of further Shares equal to 22.5% of the Shares under the original award ("Additional Shares")
In accordance with the terms of these awards, 176,302 Shares (that is, half of the total number satisfying the performance target) and 72,123 Additional Shares (that is, half of the total number of Additional Shares) were released to Mr Henriksson on 29 June 2009 and the balance will be available for release to Mr Henriksson on 29 June 2010, subject to continued employment.
On 30 June 2009, Mr Henriksson sold 248,425 Shares at £2.237165 per Share.
Following these transactions Mr Henriksson's total holding is 1,078,637 Shares (representing 0.13% of the issued share capital).
