GRANT OF CONDITIONAL SHARE AWARDS
1) INVENSYS 2007 LONG TERM INCENTIVE PLAN ("LTIP")
Invensys plc ("the Company") wishes to notify the following changes in the interests of persons discharging managerial responsibility ("PDMRs") in ordinary shares ("Shares") arising out of the grant of conditional awards of Shares ("Awards") under the LTIP.
On 29 June 2011 Awards were granted to the following PDMRs, as set out below. The numbers of Shares stated are the maximum available to each PDMR on satisfaction in full of the performance targets applicable to the Award:

As reported in the Invensys plc Annual Report & Accounts 2011, related to his appointment as Chief Executive, Mr Edmunds' award outlined above includes an exceptional LTIP award of an additional 100% of base salary (ie 300% in total) as permitted by the rules of the LTIP (reverting to the normal award level of 200% of base salary in later years).
Vesting of the Awards is conditional upon performance conditions (relating, inter alia, to the Company's Total Shareholder Return and the Compound Annual Growth Rate in the Company's Earnings Per Share) to be applied over a three year performance period. Subject to the performance conditions any Shares which vest will be released as soon as possible following 29 June 2014.
2) INVENSYS PLC DEFERRED SHARE PLAN
Invensys plc notifies that, in connection with payment of a proportion of bonus for the financial year to 31 March 2011, Mr Edmunds received a grant of a conditional share award under the Invensys plc Deferred Share Plan on 29 June 2011 in respect of 82,085 Invensys plc ordinary shares of 10p each. The vesting of this award is subject to continued employment. 100% of the award will be released following the third anniversary of the date of grant.
