Further re: tender offer

This offer and tenders of Notes (as defined below) will not be accepted from, or on behalf of, holders of Notes in any jurisdiction in which the making of the Offer will not be in compliance with the laws or regulations of such jurisdiction. There are tender offer and distribution restrictions in the United Kingdom, France and Belgium as more fully set out in the Offer Document referred to below.


Invensys plc, a public limited company incorporated and existing under the laws of England and Wales (the “Company”), announced today the pricing information and the Maximum Tender Amount (as such term is defined in the Offer Document described below) for its cash tender offer (the “Offer”) for its outstanding U.S. Dollar 9.875% Notes due 2011 (the “Notes”). The tender offer is scheduled to expire at 9:00 a.m., New York time, on November 9, 2006, unless the Offer is extended (such deadline, as may be extended, the “Expiration Date”). The Company also announced today that the maximum Aggregate Purchase Price (as such term is defined in the Offer Document) will be increased to U.S.$197,000,000.


Settlement of the offer is expected to occur on the first business day following the Expiration Date, which is expected to be November 10, 2006 (the "Settlement Date").

The Company will pay the aggregate total consideration in the manner described in the Offer Document, dated October 11, 2006 (the "Offer Document"), plus accrued and unpaid interest from the last interest payment date to, but excluding, the Settlement Date, for the Notes accepted pursuant to the Offer Document. The Total Consideration (as such term is defined in the Offer Document) includes an early tender premium in the amount of U.S.$30 per U.S.$1,000 principal amount of Notes (the “Early Tender Premium”). Noteholders who do not validly tender their Notes prior to 5:00 p.m., New York City time, on October 25, 2006, will receive the Purchase Price (as such term is defined in the Offer Document), which does not include the Early Tender Premium.

If the Company by the Expiration Date has received acceptances representing an aggregate principal amount of Notes in excess of the Maximum Tender Amount, then the aggregate principal amount of Notes subject to any purchase shall be reduced on a pro rata basis (as described in the Offer Document).

This announcement does not constitute a recommendation regarding the Offer. Noteholders should seek advice from an independent financial advisor as to the suitability of the transactions described herein for the individuals concerned.
