Jean-Claude Guez, who has been a non-executive director since 2003 and has been Chairman of the Remuneration Committee since 2004, has informed the Board that he will not be seeking re-election at this year’s Annual General Meeting which takes place on 17 July 2009 and will be retiring from the Board after the close of the meeting.
Martin Jay, Chairman of Invensys plc, commented: "It has been a pleasure working with Jean-Claude over the past six years and I am very grateful to him for his significant contributions and support during this time. We all wish him well in the future."
Invensys also announces that Dr Martin Read and Francesco Caio will be joining the Board on 18 July 2009 as non-executive directors. Dr Read will succeed Jean-Claude Guez as Chairman of the Remuneration Committee
Dr Martin Read was formerly Chief Executive of LogicaCMG from 1993 until 2007. He is a non-executive director of British Airways plc, a senior advisor to the Indian company, HCL Technologies Limited and led the Back Office and IT workstrand for HM Treasury’s Operational Efficiency Programme. He has previously served as a non-executive director on the boards of Asda Group plc and Boots Group PLC.
Francesco Caio was formerly Chief Executive of Merloni Eldo S.p.A from 1997 to 1999 and Chief Executive of Cable & Wireless from 2003 to 2006. He is currently Vice Chairman of Investment Banking Europe with Nomura, an appointment he took up in October 2008 and is a member of the European Advisory Board of Air Products. He also acts as an advisor to the Italian and British governments on telecommunication matters.
